TeezyCreator – Terms and Conditions

Kuraly Kristály Kft.1037 Budapest, Erdőalja út 17.12501601-2-41

1. General

1.1. These terms govern the TeezyCreator programme, in which registered creators (the “Designer”) can upload their own artwork to the Teezy webshop (the “Website”). Kuraly Kristály Kft. (registered office: 1037 Budapest, Erdőalja út 17., Hungary; tax no. 12501601-2-41; the “Operator”) sells the design at the price set by the Designer, and the Designer is entitled to the remuneration in section 4 for every unit sold.

1.2. Participation is free. By applying, the Designer declares that they have legal capacity and accept these terms, as well as the Website’s Terms and Conditions and Privacy Policy.

1.3. No employment, agency or partnership relationship arises between the Designer and the Operator. The Designer takes part independently and at their own responsibility.

2. Application and account

2.1. The application is tied to the Designer’s customer account. The Designer provides a display name and chooses whether they take part as an individual or as a company; a company must also provide its name and tax number.

2.2. The Designer is responsible for the accuracy of the data provided and must keep it up to date. The display name, bio, profile picture and any social/website links provided are shown publicly on the Website.

2.3. The Operator may reject an application without giving reasons, and may suspend a Designer’s access if these terms are breached.

3. Uploading and approval of designs

3.1. The Designer uploads designs in their account (image, name, description, category, price and, optionally, custom fields to be filled in by the buyer).

3.2. Designs from new Designers are approved before they go live; for trusted Designers the Operator may allow automatic publishing. The Operator may reject a design without giving reasons, request changes, or take down a published design at any time — in particular if it is unlawful, infringes third-party rights or does not meet print-quality requirements.

3.3. It is forbidden to upload a design that: (a) infringes a third party’s copyright, trademark, personality or other rights (e.g. brands, logos, film/music/sports-team motifs, the likeness of living persons without consent); (b) is unlawful, hateful, discriminatory, pornographic, violent or misleading; (c) was created with AI tools but imitates or unlawfully uses a third party’s work.

3.4. The Designer may add custom fields to a design (e.g. a name or date); the values are used only as needed for printing.

4. Price and Designer remuneration

4.1. The Designer sets the sale price of the product (shirt) carrying their design. The Operator retains a fixed amount per unit (the “Base Fee”), which covers the blank product, printing, operation of the Website and the service fee. The current Base Fee is shown in the Designer’s account when uploading a design and may be changed by the Operator; a change affects only orders placed after it takes effect.

4.2. The Designer’s remuneration per unit sold equals the sale price minus the Base Fee (never below zero). If the sale price does not exceed the Base Fee, no remuneration is due for that sale. The remuneration is not a percentage commission.

4.3. The remuneration is credited to the Designer’s balance per line item when the order is placed. If an order is cancelled in full, the credited remuneration is reversed. The Designer may request payout once the order reaches the “Completed” status.

4.4. No share is due on discounts, coupons, shipping or other fees, or any other costs paid by the buyer; the calculation base is the sale price. In case of a refund, withdrawal or warranty replacement, the Operator may deduct the already credited remuneration from the next payout or reverse it from the unpaid balance.

5. Payout and taxes

5.1. The Designer may request a payout of their available balance in their account. Only one payout request may be open at a time. Payment is made by bank transfer to the details provided by the Designer, after the request has been processed. The Operator indicates in the account when a payout has been made.

5.2. For an individual Designer, the Operator applies the withholding percentage shown in the account to the payout and pays the related taxes and contributions on the Designer’s behalf. The Designer does not need to issue an invoice. The Designer must provide their personal tax ID where the law requires it.

5.3. A company Designer is not subject to withholding; when submitting a payout request, the Designer must issue a proper invoice to the Operator for the payout amount and attach it (PDF) to the request. The Operator pays on the basis of the invoice and may postpone payment if the invoice is missing or incorrect.

5.4. The Designer is responsible for their own tax obligations (e.g. registration, returns) as required by law, except where the law places them on the Operator. The Operator does not provide tax advice.

6. Intellectual property and licence

6.1. Copyright in the design remains with the Designer; these terms do not transfer ownership.

6.2. By publishing a design, the Designer grants the Operator a non-exclusive, sublicensable licence to (a) reproduce, print and sell the design on products — in particular shirts, sweatshirts, bags and caps, (b) display and advertise it on the Website and Teezy’s marketing channels (e.g. website, social media, ads, newsletter, product feeds), and (c) fulfil and evidence orders. The licence is worldwide and lasts while the design is published and until orders already placed are fulfilled.

6.3. The Designer may withdraw a design from the Website at any time. Orders placed before withdrawal may still be fulfilled, and the Designer’s remuneration is due for them. Products already produced or in the buyer’s possession may continue to be lawfully sold and used.

6.4. The Designer warrants that they are the author of the design, or are otherwise entitled to grant the rights in these terms without restriction, and that the design does not infringe third-party rights. If a third party brings a claim against the Operator because of a design, the Designer must help defend it and reimburse the Operator’s documented losses (including fines, legal costs and damages).

6.5. The Operator is not obliged to pre-screen designs for third-party rights; failure to screen does not reduce the Designer’s responsibility.

6.6. The Operator runs the Webshop as an intermediary service provider; the Designer is responsible for the content of the design. On a well-founded infringement notice from a third party, or if it considers a design infringing, the Operator may remove the design without prior notice, suspend the Designer’s account, and withhold remuneration on sales affected by the infringement until the dispute is resolved.

7. Operator’s rights and liability

7.1. The Operator acts independently in running the Website, taking orders, producing and shipping products and providing customer service. It gives no guarantee that a design will sell, how many it will sell, or what the Designer will earn.

7.2. The Operator may decide how a design is presented (e.g. featuring, category, recommendations, price display). The Operator may technically adapt a design for printing (e.g. background removal, resizing) without changing its content.

7.3. To the fullest extent permitted by law, and except for damage caused intentionally or to life, bodily integrity or health, the Operator’s liability is limited to the amount of the Designer’s remuneration for the period concerned.

8. Data processing

8.1. The Operator processes the Designer’s personal data (name, e-mail, tax ID/number, payout details) to perform the agreement and to make payouts and meet tax obligations, as set out in the Website’s Privacy Policy. Questions: [email protected].

9. Termination

9.1. The Designer may leave the programme at any time and ask for designs to be taken down by e-mail. The Operator may terminate immediately or suspend design uploads if the Designer seriously or repeatedly breaches these terms.

9.2. Remuneration accrued up to termination and not yet paid will be paid under these terms, except where termination results from the Designer’s unlawful conduct causing loss to the Operator, in which case the Operator may set off its claim against the balance.

10. Miscellaneous

10.1. The Operator may amend these terms unilaterally; an amendment takes effect on publication and does not affect orders already placed. The system records the Designer’s acceptance at application; for material changes the Operator may ask for renewed acceptance for continued participation.

10.2. Hungarian law governs these terms. The parties will first try to settle disputes by negotiation; failing that, and unless a mandatory rule provides otherwise, they submit to the exclusive jurisdiction of the Buda Central District Court or the Budapest-Capital Regional Court, depending on the amount in dispute.
